These terms govern your use of papayagroupinc.co, operated by Papaya Group Inc., an Ontario corporation with its office at 14 Leswyn Rd, North York, Ontario M6K 1K3, Canada. By using this website you accept them. Services we deliver to clients are governed by a separate written agreement, and where that agreement conflicts with these terms, that agreement takes precedence.

Use of the website

You may use this site for lawful purposes only. You agree not to attempt to gain unauthorised access to any part of it, to interfere with its operation, to scrape or harvest data from it by automated means without our written consent, or to use it in a way that could damage or overburden it.

Information on this site

The content here is provided for general information. We work to keep it accurate and current, but we make no warranty that it is complete, accurate or up to date at any given moment. Nothing on this site constitutes legal, financial, tax or professional advice, and nothing here forms a contract or a binding offer.

Case studies and results

Case studies, figures and testimonials published on this site illustrate outcomes achieved in specific engagements under specific conditions. They are not a promise, guarantee or projection of the results you will achieve. Outcomes depend on your market, your product, your budget, your team and factors outside our control.

Proposals and engagements

A discovery call and an audit do not create a contractual relationship. Work begins only once a written proposal or statement of work has been accepted by both parties. That document sets out the scope, deliverables, timeline, fees and payment terms for the engagement.

Fees and payment

Fees are set out in the applicable proposal or statement of work. Unless stated otherwise, invoices are payable within 15 days of the invoice date. We reserve the right to pause work on overdue accounts. Prices are exclusive of applicable taxes, which will be added where required.

Intellectual property

The design, text, graphics, logos and code of this website are owned by Papaya Group Inc. or licensed to us, and are protected by Canadian and international intellectual property law. You may not copy, reproduce, republish or distribute any part of it without our written permission.

For client work, ownership of deliverables transfers to the client on full payment, as set out in the relevant agreement. We retain ownership of our own pre-existing tools, frameworks, templates and know how, and we grant clients the licences they need to use the deliverables fully.

Confidentiality

Information you share with us in the course of an enquiry, a discovery call or an engagement is treated as confidential and is used only to assess and deliver the work. We are happy to sign a mutual non disclosure agreement before any detailed discussion.

Third party services

This site links to and embeds third party services, including our booking calendar and analytics tools. We are not responsible for the availability, content or practices of those services, and your use of them is governed by their own terms.

Limitation of liability

To the fullest extent permitted by law, Papaya Group Inc. is not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or business opportunity, arising out of your use of this website. Our total aggregate liability arising from your use of this website is limited to one hundred Canadian dollars. Liability arising from a client engagement is governed by the limitation set out in the relevant agreement. Nothing in these terms excludes liability that cannot be excluded by law.

Indemnity

You agree to indemnify Papaya Group Inc. against any claim, loss or expense arising from your misuse of this website or your breach of these terms.

Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these terms.

Changes

We may revise these terms at any time. The version published here is the version in force, with the date shown at the top of the page. Continued use of the site after a change means you accept the revised terms.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction over any dispute arising from them.
